S&P GROUP OF COMPANIES PTE. LTD.

Terms of Service

The agreement between you and S&P Group of Companies Pte. Ltd. governing your use of the SP Group application.
Effective 10 August 2026

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and S&P Group of Companies Pte. Ltd. (UEN 202445619R), of 2 Venture Drive, #14-22, Vision Exchange, Singapore 608526 ("we", "us"). They govern your use of the SP Group mobile and web application and the FullERP services it connects to (together, "the Service").
By creating an account, signing in, or using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
If you are using the Service as an employee or contractor of an organisation that licenses it, you also remain subject to that organisation's own policies. Where its policies are stricter than these Terms, the stricter policy applies to you.

2. Accounts and access

•
Accounts are issued by your employer or by us on your employer's instruction. Access to a given screen or record is determined by the role your employer assigns you.
•
You must give accurate information when you register and keep it up to date.
•
You are responsible for keeping your password confidential and for everything done under your account. Do not share your credentials or let another person punch attendance on your behalf.
•
You must change any temporary password on first sign-in, and you should tell us at once if you believe your account has been compromised.
•
We may suspend or terminate an account that is used in breach of these Terms, or at the instruction of the employer that owns it.

3. Acceptable use

You agree not to:
•
Falsify attendance — including punching in for another person, using a second device to defeat device binding, or using a mock-location or GPS-spoofing tool.
•
Access, or try to access, data belonging to another employee, another company, or another tenant of the platform.
•
Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that applicable law expressly permits it despite this restriction.
•
Probe, scan or test the security of the Service, interfere with its operation, or place an unreasonable load on it through automated means.
•
Copy, resell, sublicense, or otherwise commercially exploit the Service or any data extracted from it.
•
Upload malware, or content that is unlawful, harassing, or infringing.
•
Use the Service in any way that breaks the law, or your employer's lawful policies.

4. Licence

We grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to install and use the Service on a device you own or control, for the sole purpose of performing your work for the organisation that licenses it, for as long as that organisation's licence and your authorisation remain in force. All other rights are reserved.
This licence gives you no ownership of the Service. All intellectual property in the Service, including its software, design, and documentation, remains ours or our licensors'.

5. Your data and your employer

Personal data in the Service is handled as described in our Privacy Policy. Records of your employment, attendance, payroll and accommodation belong to your employer, which decides how they are used and how long they are kept, subject to law.
You can request deletion of your account at any time — see the Account Deletion page. Deletion is subject to the statutory retention periods set out in the Privacy Policy, which we cannot waive.

6. Location features

Attendance verification uses your device's location. Foreground location is required to punch in or out; if you decline it, you can still use the rest of the Service but you will need your supervisor to record attendance for you.
Automatic site check-in, which uses background location, is entirely optional, is off until you turn it on, and can be turned off at any time in the App or in your device settings.

7. Availability and changes

We aim to keep the Service available but we do not guarantee uninterrupted access. We may suspend it for maintenance, and we may change, add or remove features. Where a change materially reduces functionality you rely on, we will give reasonable notice through the App.
We may update these Terms. We will post the revised version with a new effective date and, for material changes, notify you in the App before they take effect. Continuing to use the Service afterwards means you accept the change.

8. Disclaimer

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
The Service assists with attendance, payroll and workforce administration; it does not replace your employer's legal obligations, and we do not warrant that any calculation it produces satisfies any particular statutory requirement. Your employer remains responsible for its own compliance.
Location accuracy depends on your device, its settings, and the physical environment. We do not warrant that a position fix will be accurate or available at any given moment.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or relating to the Service.
Our total liability arising out of or relating to the Service is limited to the amount your employer paid us for the Service in the twelve months before the event giving rise to the claim, or SGD 100, whichever is greater.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by negligence, or for fraud.

10. Termination

You may stop using the Service at any time and may request deletion of your account. Your access ends automatically when your employer's licence ends, or when your authorisation is withdrawn. We may suspend or end access immediately for a material breach of these Terms.
Sections 4, 5, 8, 9 and 11 survive termination.

11. Governing law

These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to them, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.

12. Apple App Store — additional terms

The following applies to the version of the App obtained from the Apple App Store.
This agreement is between you and us only, not with Apple, and Apple is not responsible for the App or its content. Apple has no obligation to provide any maintenance or support for the App.
If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation in respect of the App.
Apple is not responsible for addressing any claim by you or a third party relating to the App, including product liability claims, claims that the App fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
If a third party claims the App infringes its intellectual property, we, not Apple, are solely responsible for the investigation, defence, settlement and discharge of that claim.
You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.

13. Google Play — additional terms

The version of the App obtained from Google Play is additionally subject to the Google Play Terms of Service. Google is not a party to this agreement and is not responsible for the App.
